The Board of Directors of Jaya Tiasa Holdings Berhad ("JTH") is pleased to announce that JTH has on 1 April 2004 acquired two (2) ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital in Borneo Biotechnology Sdn. Bhd. (Company No. 601166-H) ("BBSB")for a total cash consideration of RM2.00 only.

BBSB was incorporated on 16 December 2002 under the Companies Act, 1965 with an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each of which 2 ordinary shares has been issued and fully paid-up. BBSB is currently dormant.

The intended principal activities of BBSB are:

(i) to develop the technology for mass propagation of tree species and herbal plants; and
(ii) herbal farming.

None of the Directors and substantial shareholders of JTH or persons connected with them has any interest, direct or indirect, in the acquisition
