The Board of Directors of Jaya Tiasa Holdings Berhad (the "Company") is pleased to announce that the Company has on 15 August 2005 acquired two (2) ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital in JT Oil Palm Development Sdn. Bhd. [Company No. 705254-T] ("JTO") for a total cash consideration of RM2.00 only.

JTO was incorporated on 4 August 2005 under the Companies Act, 1965 with an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each of which 2 ordinary shares has been issued and fully paid-up. JTO has not commenced business yet.

The intended principal activities of JTO are development of oil palm plantations and related activities.

None of the Directors and substantial shareholders of the Company or persons connected with them has any interest, direct or indirect, in the acquisition.
