Transactions (Chapter 10 Of Listing Requirements) : Non Related Party Transactions

The Board of Directors of JTH wishes to announce that Jaya Tiasa Property Sdn. Bhd. [Registration No. 202501011291 (1612705-v)], a wholly-owned subsidiary of the Company, has on 30 May 2025 entered into a conditional sale and purchase agreement (“SPA”) with Yemas Development Sdn Bhd [Registration No. 199601007047 (379393-W)], for the purchase of four (4) parcels of vacant leasehold lands held under Lot 1369 Block 4, Lot 1830 Block 4, Lot 2954 Block 4 and Lot 693, Sibu Town District, Sarawak for a total purchase consideration of RM100,000,000.00 to be satisfied fully in cash subject to the terms and conditions as contained in the SPA (collectively referred to as the “Proposed Acquisitions”).
