The Board of Directors of Jaya Tiasa Holdings Berhad ("JTH" or "the Company") is pleased to announce that JTH has on 15 September 2003 acquired two (2) ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital in Erajaya Synergy Sdn. Bhd. (Company No. 624638-M) ("ESSB") for a total cash consideration of RM2.00 only.

ESSB was incorporated on 11 August 2003 under the Companies Act, 1965 with an authorised share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each of which 2 ordinary shares has been issued and fully paid-up.

The intended principal activity of ESSB shall be to develop and maintain forest plantation and related activities.

None of the Directors and substantial shareholders of JTH or persons connected with them has any interest, direct or indirect, in the acquisition.
